Responsibilities

This position exists to independently perform legal and compliance work for the organization as directed by the General Counsel. Responsibilities include drafting contracts, documents and other legal instruments, legal research, versight and guidance of work of non-attorney members of the legal department, implementing legal department initiatives, working on special projects and other operational support for the legal function of the organization.

  • Assist General Counsel with key legal department initiatives to support organizational governance and compliance with laws, regulations and best practices. This position is expected to provide direction and guidance to non-attorney members of the legal department.
  • Review, revise, draft, and provide analysis of agreements, documents and other legal instruments, policies and procedures, and provide guidance to assist business owners with decisions related to legal risks and objectives.
  • Research and review all statutory, regulatory and case law utilizing computerized research capabilities and law libraries on a range of issues for multi-state operations, and then communicate such research to business owners in a mode and manner that will allow decisions to be made.
  • Provide litigation management with internal stakeholders and Outside Counsel.
  • Support post-closing mergers and acquisitions integration and administration of the acquired subsidiaries, including organization of due diligence reviews and closing mechanics.
  • Collaborates with outside counsel on intellectual property issues, as well as effectively issue spot on risk areas for the organization's intellectual property.
  • Identify issues, legal risks, and potential liabilities.
  • Operate as liaison between organization departments and the office of the General Counsel.
  • Act as an internal resource on issues or questions.
  • Provide key support for the Legal Department to ensure standards are met in an efficient, effective manner.
  • Maintain a working knowledge of relevant legal issues and topics for our industry to manage legal and compliance risks.
  • Qualifications

    Required Qualifications:

  • Law degree from an accredited law school
  • Active, unrestricted license to practice law in the state of Minnesota; eligible to obtain in-house status in other states
  • High level of computer skills, including ability to work in all Microsoft Office programs
  • 10+ years experience as an attorney or working in law firm or in-house legal department
  • Preferred Qualifications:

  • Experience in a Health Care setting
  • Regulatory reporting experience
  • Experience in one or more the following areas of law: healthcare, compliance, business transactions (e.g. mergers, acquisitions, joint ventures), privacy, intellectual property, education/higher learning
